Public Offer Agreement

This document is a public offer (hereinafter the “Agreement” or “Offer”) by Sole Proprietor Anastasia Ivanovna Isakova, registered in the Russian Federation (Tax ID: 602503909307, Registration No.: 324774600107664), hereinafter the “Provider,” to enter into a contract for the provision of paid consulting and informational services in the fields of mindfulness training and blog / content mentorship with any capable individual (the “Client”) who accepts this Offer by paying for the Services.

1. Terms and Definitions

1.1. Telegram Group / Telegram Bot – official communication channels of the Provider on Telegram, used for providing information, access to materials, and support.

1.2. Acceptance of the Offer – full and unconditional agreement to this Offer by means of full or partial payment.

1.3. Client – any legally capable individual who pays for the Services offered by the Provider.

1.4. Platform – digital tools used by the Provider, such as Telegram and Zoom, for delivering Services.

1.5. Services – consulting and educational services in the field of mindfulness and in blog / content development, including access to audio, video, and text materials, support in Telegram, live sessions, group and individual mentorship, and consultations.

1.6. Materials – intellectual property (texts, videos, audio files, graphics, etc.) provided by the Provider within the Services.

1.7. Community / Chat – a closed Telegram group or channel for community interaction and communication with the Provider. Access is provided by paid subscription.

1.8. Online Events – live sessions conducted via Zoom or other platforms, as outlined in the selected Service tier.

2. Scope of Services

2.1. The Provider delivers Services as part of mindfulness training and blog / content mentorship programs. Access is granted via Telegram and other online platforms.

2.2. Service Tiers:

• Closed Community – monthly subscription, 35 € / month (28 € first month). Access to a closed Telegram community: live streams, practices, group reviews, and work with state. Renews monthly until cancelled by the Client.
• Zoom Meetings – 200 €. Four live online sessions, one per week over one month, offering deeper practices. Available only to current members of the Closed Community and held subject to group enrollment; may be temporarily unavailable.
• One-time Consultation – 100 € (approx. 8,500 RUB). One scheduled individual session (about one hour) on a topic of the Client’s choosing.

2.3. Services are provided only after 100% upfront payment or the first installment under an installment agreement.

2.4. Full information on prices, structure, and content is communicated via Telegram, Google Forms, or the payment page.

3. Rights and Obligations

3.1. Client Rights:

• Access content according to the selected plan.
• Request information regarding schedule and guidance.
• Use materials for personal, non-commercial purposes.

3.2. Client Obligations:

• Not share access with third parties.
• Not reproduce, sell, or distribute course materials.
• Follow respectful communication rules and the rules of the Community / group.
• Track their own progress.

3.3. Provider Rights:

• Modify the course or program structure without degrading content.
• Decline or terminate a Client’s participation if the Client breaches this Agreement, disrupts the group, or does not match the required format or level. Termination for breach by the Client does not entitle the Client to any refund.
• Deny access in case of breach of contract.
• Use anonymized feedback or results for marketing.

3.4. Provider Obligations:

• Deliver the Services within the agreed time.
• Maintain confidentiality of personal data.
• Ensure stable access to content and support.

4. Payment & Refunds

4.1. Payment is processed via Tribute or another payment service link. Prices are stated in euros (the Consultation is also stated in Russian rubles). The Closed Community subscription renews monthly until cancelled by the Client.

4.2. Refunds are granted only for unused Services and will exclude any transaction fees or consumed content.

4.3. In the event of a late payment (for installment plans), the Provider may suspend access.

4.4. Refunds are processed within 10 calendar days of a valid request, including bank / card details and ID.

4.5. For monthly subscription tiers, cancellation stops the next renewal. The current paid period is not refunded for time already elapsed or content already consumed.

5. Intellectual Property

5.1. All course and program materials are copyrighted and owned by the Provider.

5.2. Reproduction, redistribution, or commercial use without permission is prohibited.

5.3. Each violation may result in a penalty of 100,000 RUB and/or legal action.

6. Liability

6.1. The Provider is not liable for: technical issues on the Client’s side; results depending on the Client’s personal effort; discrepancies between expectations and actual outcomes.

6.2. Claims must be sent to aisakovayt@gmail.com within 5 business days.

6.3. Scope of Services / Health. The Provider’s Services are intended for individuals who are able to participate in coaching and group work independently. If a person requires clinical, psychiatric, or therapeutic support, the Provider is not the right provider for that need. The Services are educational and coaching-based and are not a substitute for therapy, diagnosis, or treatment.

6.4. By joining a group program (Closed Community or Zoom Meetings), the Client confirms that they are able to participate in a group setting responsibly and that they do not require mental health treatment or crisis support through this program.

7. Force Majeure

7.1. Neither Party is liable for failure to perform due to force majeure circumstances.

7.2. If such events continue for over 30 days, either party may terminate the agreement.

8. Final Provisions

8.1. This Offer becomes effective upon payment.

8.2. Legal notices may be sent via email or Telegram.

8.3. Disputes shall be governed by Russian law unless otherwise agreed.

Appendix No. 1 – Community & Group Rules

• Access is granted after payment.
• Forbidden: spam, aggression, external links, negative attitude, promotion of external authors or services.
• Respectful communication is required at all times.
• Violation of these rules leads to removal from the Community / group without any refund.
• If the Provider ends participation on its own initiative, with no fault on the Client’s side, the unused portion is refunded.

Appendix No. 2 – Consultation Rules

• Consultations are scheduled in advance.
• Cancellation less than 24 hours in advance is non-refundable.
• One reschedule is allowed with 24 hours’ notice.
• Sessions are confidential.
• Services are deemed delivered once the session occurs or is missed without a valid excuse.
